This agreement is entered between Music – Motions.com („Composers“) and the Customer ( “User”).

The Composers owns the copyright, publishing rights and all other related rights of this Freestyle Music.

The User has the right to publicly perform with this Freestyle Music.

The User can sell the Freestyle Music BUT THE RIGHTS STAY BY the Composers!

The parties agree as follows:

A: Rights Granted:

1: The Composers here by guarantee to the User that this freestyle Music is exclusive made for this User only!

2: The User has the right to use this Freestyle Music worldwide!

3: The User has NOT the right to reproduce, distribute and sell the Freestyle Music on CD, DVD, CD-ROM, Usb-stick or any other device!

B: Composers Rights and Obligations:

1. The Composers agrees to work on complete exclusive,

supervisory basis during the development of the Freestyle Music.

2. To consideration with The User and to provide creative input and artistic direction concerning the Music.

3. The Composers guarantee to The User that they shall not grant any rights to use THIS MUSIC, or any portion there of, in ANY OTHER interactive multimedia work!

4. The Composers will deliver the Freestyle Music on 2 CD’s + 1 USB Stick.
On both the CD’s Track 1 will be as Wave file and Track 2 as Mp3.

5. We provide a hidden YouTube link where the trainings video will be synchronization with the Freestyle music.

C. The User Rights and Obligations:

1. The User is responsible for providing one exact Video recording of the to ride Freestyle test.

2. The User May does not change ANYTHING on this Freestyle Music without consulting the Composers!

3. The User must always Name the Composers as Composers and performers of the Freestyle Music in all promotional literature and advertisements for this Freestyle.

D. Payments:

1. With this Agreement, The User shall pay the first 50% off the total amount that they agreed on before we begin the production.

2. The second 50% off the amount must be paid before the Composers deliver the Freestyle !

E. Warranty and Indemnification:

1. The Composers warrants and represents that they have the full right, to enter into this Agreement and to grant the rights granted herein. That they have not previously licensed the interactive multimedia rights to any of the THIS Freestyle Music or to any third party. And that The User inclusion and use of the Music for this Freestyle exclusive is. The Composers will not violate any rights of any kind what so ever of any third party.

2. The User shall indemnify and hold harmless the Composers, for successors and assigns from and against any and all claims, damages, liabilities, costs and expenses, arising out of or in any way connected with any claim that the Freestyle Music infringes any intellectual property rights or other rights of any third party!
